1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RaketaLabs ("Company," "we," "us," or "our"), governing your access to and use of the User Tourly platform, including our website, dashboard, embeddable widgets, APIs, documentation, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

User Tourly is a product onboarding and user engagement platform developed by RaketaLabs. The Service enables businesses to create interactive product tours, onboarding checklists, tooltips, announcements, and surveys to guide their end users. The Service includes a web-based dashboard for creating and managing onboarding experiences, an embeddable JavaScript widget, analytics and reporting features, and related APIs.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly to keep it accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at [email protected] of any unauthorized use of your account or any other security breach.

3.3 Account Types

The Service may offer different account types (e.g., free, starter, professional, enterprise) with varying feature sets, usage limits, and pricing. The specific features and limitations of each plan are described on our pricing page and may be updated from time to time.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party.
  • Transmit any malicious code, viruses, or harmful data through the Service.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
  • Interfere with or disrupt the integrity, performance, or availability of the Service or its underlying infrastructure.
  • Use the Service for any fraudulent, deceptive, or misleading purpose.
  • Collect or harvest any personally identifiable information from end users without their proper consent.
  • Use automated systems (bots, scrapers, etc.) to access the Service in a manner that exceeds reasonable usage or circumvents rate limits.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Use the Service to send unsolicited communications or spam to end users.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including suspending or terminating the violator's account and reporting to law enforcement authorities.

5. Your Content and Data

5.1 Ownership

You retain all ownership rights to the content, data, and materials you create, upload, or configure through the Service ("Your Content"). We do not claim ownership of Your Content.

5.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or close your account.

5.3 Responsibility for Content

You are solely responsible for Your Content and the consequences of deploying it through the Service. You represent and warrant that you have all necessary rights and permissions to use and deploy Your Content and that it does not violate any third-party rights.

5.4 Data Processing

To the extent that we process personal data on your behalf through the Service, we act as a data processor and you act as the data controller. Our processing of such data is governed by our Privacy Policy and any applicable Data Processing Agreement.

6. Billing and Payment

6.1 Subscription Plans

The Service is offered on a subscription basis. Subscription fees, billing cycles, and plan features are described on our pricing page. We reserve the right to modify pricing with at least 30 days' prior notice before your next billing cycle.

6.2 Payment

You agree to pay all fees associated with your selected plan. Fees are charged in advance on a monthly or annual basis, depending on your chosen billing cycle. All payments are non-refundable unless otherwise stated or required by applicable law.

6.3 Free Trial

We may offer free trials for certain plans. At the end of the trial period, your account will automatically convert to the selected paid plan unless you cancel before the trial expires. We will notify you before the trial ends.

6.4 Taxes

All fees are exclusive of applicable taxes (including VAT, sales tax, and GST). You are responsible for paying all such taxes, except for taxes based on our net income.

6.5 Late Payment

If payment is not received by the due date, we may suspend or restrict access to the Service after providing reasonable notice. Continued non-payment may result in account termination.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its source code, design, features, functionality, trademarks, logos, and documentation, is the exclusive property of RaketaLabs and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use the RaketaLabs or User Tourly name, logo, or trademarks without our prior written consent.

7.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, and royalty-free right to use such feedback for any purpose without compensation or attribution to you.

8. Service Availability and Support

8.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

8.2 Modifications

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. For material changes that negatively affect your use, we will provide reasonable advance notice.

8.3 Support

Support is provided according to the terms of your subscription plan. Support availability, response times, and channels may vary by plan tier.

9. Third-Party Integrations

The Service may integrate with or provide access to third-party services, applications, or websites. Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service, and we do not endorse or assume liability for any third-party service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAKETALABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Service;
  • Any unauthorized access to or use of our servers or any personal information stored therein;
  • Any interruption or cessation of transmission to or from the Service;
  • Any bugs, viruses, or other harmful code that may be transmitted through the Service;
  • Any errors or omissions in any content or data.

Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless RaketaLabs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any rights of a third party, or Your Content.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service will immediately cease. No refunds will be provided for any unused portion of a prepaid subscription period unless required by applicable law.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment, extended inactivity, or a request by law enforcement.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days after termination, during which you may request an export of Your Content. After this period, we may permanently delete your data. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and dispute resolution provisions.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RaketaLabs is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the competent courts of the applicable jurisdiction.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and RaketaLabs regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or internet or infrastructure failures.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide additional notice via email or an in-app notification. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.
